Abstract : Après 30 ans de débat, le projet de directive sur la création d’un statut de Société anonyme européenne a été adopté suite à un accord laborieux entre les Etats des 15 pays de l’Union Européenne lors du Sommet de Nice (décembre 2000). Il est évident que les grandes entreprises du continent tireront profit du nouveau statut puisqu’il facilite les concentrations transfrontalières et permet la réalisation de larges économies sur les plans financiers et d’investissement. Mais l’organisation de la Societas Europeae prévoit l’implication des salariés dans ses organes de contrôle. Les réactions des syndicats divergent. Les rapports de force entre patronat et salariés seront-ils favorables à ces derniers ? Les conditions de travail s’amélioreront-elles ? Les licenciements et les restructurations seront-ils mieux encadrés ? Oui et non. Les réponses à ces questions dépendent de l’orientation de la politique économique et sociale que les instances européennes et les Etats appliqueront. La SE, lieu de concertation, ou nouvel outil de discrimination salariale et de segmentation de l’espace européen ? After 30 years of debate, the project of directive concerning the creation of a european company status has been carried after a hard agreement between governments of the 15 States of the European Union during the Nice Summit (december 2000). It is obvious that big companies of the continent will take advantage of this new status, since it facilitates srossborder concentration and permits large financial and investment savings. But the organisation of the Societas Europeae provides workers implication in the control boards. Trade Unions reactions diverge: Will bargain power between employers and workers be in favour of the last? Will working conditions be improved? Will lay-off and restructurations be better regulate? Yes and No. Answers to these questions depend on the way of the economic and social policy wich will be applied by european institutions and governments. The European Company, new concentration place or new tool for social discrimination and for segmentation of the european space?
