Les mécanismes cognitifs de gouvernance : un atout pour les banques mutuelles

Abstract

L’objectif de cet article est de décrire, un cadre théorique qui permette de mieux rendre compte des réalités de la gouvernance des banques mutuelles. En effet, les dirigeants des banques mutuelles se font les chantres d’un modèle de gouvernance particulier où la démocratie a toute sa place. Il s’agira, de mieux expliquer cette posture, d’un point de vue théorique puis d’en connaître les implications en termes de fonctionnement interne. L’étude de cas, qui sert de toile de fond à la partie empirique, montre l’ampleur des investissements consacrés à la préservation de cette ressource spécifique que sont les élus. Les résultats indiquent que s’ils comprennent la stratégie suivie par le groupe, s’ils utilisent les espaces d’échanges mis à leur disposition, ils restent parfois dubitatifs sur l’influence réelle qu’ils peuvent exercer sur l’avenir du groupe.
