Tulajdonosi szerkezet és vállalatirányítás a magyar nagyiparban

Abstract

Mennyire jellemző a magyar nagyvállalatok körében a ,,menedzserkapitalizmus" és a ,,rekombináns tulajdon" hálózati szerveződése? A cikk a száz legnagyobb cég tulajdonosi szerkezetének és vállalatirányítási módszereinek elemzése alapján amellett érvel, hogy mindkét modell szűk körben, illetve sajátos értelemben érvényes. A menedzserment formális-jogi értelemben csak kivételesen részvényes, informális befolyása pedig a tulajdonosi típustól függ: ereje osztott tulajdon mellett és az állami kézben lévő társaságok egy részében meghatározó. A vállalatközi tulajdonlás koncepciója pedig abban az értelemben jellemző, hogy a nagy cégek többsége hálózatokhoz kapcsolódik, de döntően multinacionális cégek leányvállalatairól van szó. Ez pedig nem sajátosan magyar vagy posztszocialista jelenség. A magyar és a külföldi vállalkozások mint tulajdonosok között alapvető különbség van a vállalatirányítás szinte minden területén, ezért a két csoportot nem célszerű a ,,hálózat" fogalmi keretében egységes kategóriaként kezelni.
