Etude des déterminants de succès du transfert de compétences stratégiques dans le processus d'intégration post fusion-acquisition

Abstract

Le développement des approches ressources et compétences d'une part et l'émergence d'une perspective basée sur la connaissance d'autre part, participe au développement de la vision stratégique de l'entreprise. En effet, ce n'est pas tant la possession des ressources /compétences qui est susceptible de conduire à un avantage concurrentiel, mais l'utilisation qui en est faite et leur accessibilité. En vue d'acquérir et d'intégrer rapidement des ressources et des compétences déjà existantes sur le marché, les entreprises peuvent recourir à des opérations de fusions & acquisitions. Ces dernières sont considérées comme un moyen d'action rapide permettant aux sociétés engagées de mettre en commun leurs potentiels et de s'approprier les compétences nécessaires à leur compétitivité. Cette communication propose un modèle conceptuel qui explicite les facteurs de succès du transfert inter-organisationnel de compétences stratégiques dans un processus d'intégration post fusion-acquisition. Pour ce faire, nous nous appuyons sur les recherches scientifiques relatives au transfert de compétences et nous mobilisons des concepts issus de la littérature sur l'approche Resource-Based View (RBV). A partir de ce cadre théorique nous identifions deux ensembles de facteurs à prendre en considération. Il s'agit de l'identification des compétences stratégiques à transférer, et des capacités des deux sociétés à intégrer ces compétences. Nous discutons cette capacité d'absorption à partir des facteurs comportementaux, structurels & managériaux. Le modèle ainsi élaboré tente de participer à l'apparition d'un corps cumulatif sur le thème du transfert de compétences dans un contexte de fusion-acquisition.
