Convergence of Corporate Governance Principles Slovenia and European Union

Abstract

Article shows, how the non-binding principles of corporate governance follow and support the state regulations and realize the convergence of the corporate governance in the European Union. It analyses the nature of soft law in the Republic of Slovenia and the history of the development of corporate governance principles in comparison with the development of this field in the European Union. Some recent researches are presented, which show the applicability of the “comply and explain” principle in Slovenian practice and the convergence of the approach on the level of the State and European Union.
