Abstract

Mit der Europaeischen Aktiengesellschaft steht den Unternehmen im Europaeischen Wirtschaftsraum eine supranationale Rechtsform zur Verfuegung, mit der sie ihre grenzueberschreitenden Aktivitaeten auf Gemeinschaftsebene neu ordnen koennen. Im Rahmen der Gruendung einer Europaeischen Aktiengesellschaft muessen Management- und Arbeitnehmervertreter durch Verhandlungen festlegen, wie die Arbeitnehmer auf kuenftige Unternehmensentscheidungen Einfluss nehmen koennen. In diesem Beitrag werden anhand einer Datenbankanalyse und zweier Fallstudien die Aushandlungsprozesse zwischen Management- und Arbeitnehmervertretern und die daraus resultierenden Ergebnisse und ihre Wirkungen untersucht. Dabei zeigen die Ergebnisse, dass sich unterschiedliche Entwicklungspfade in den Unternehmen identifizieren lassen, da die Verhandlungen auf den jeweiligen Austauschbeziehungen zwischen Management und Arbeitnehmern in den einzelnen Unternehmen aufbauen und in spezifische strukturelle und organisationale Kontexte eingebettet sind. (The European Company is a supranational legal form that enables companies in the European Economic Area to reorganize their cross-border activities on a European-wide basis. The creation of a European Company requires negotiations between management and employee representatives on employee involvement. Based on a database analysis and two case studies, this article examines these negotiation processes, their outcomes and impacts. The analysis shows that different development paths can be identified because the negotiations are built upon company-specific industrial relations practices and are embedded in specific structural and organizational contexts.)
