Abstract

A magyar gazdaságjogi szabályozás egyik időről időre felmerülő kérdése, hogy nem kellene-e csökkenteni - vagy akár meg is szüntetni - a korlátolt felelősségű társaságok alapításakor megkövetelt alaptőkét. A tanulmány ennek a változásnak a vállalatok kockázatvállalási hajlandóságára (óvatosságára) gyakorolt hatását elemzi. Azt kívánja bizonyítani, hogy a tőkecsökkentés (és ezzel a felelősségkorlátozás) ösztönzési hatása alapvetően eltér, attól függően, hogy 1. a döntéshozó kockázatsemleges vagy kockázatkerülő, 2. mi a kártérítési esetekben alkalmazott felelősségi szabály (szigorú vagy gondatlansági alapú), illetve 3. milyen a vállalatvezető és a tulajdonos viszonya.
