Corporate Governance at European Standards: What’s New in the BVB Code 2025

Abstract

This article explains how the new Code of Corporate Governance of the Bucharest Stock Exchange (2025) aligns the practices of listed companies with European standards and the principles of the Organisation for Economic Co-operation and Development (OECD), promoting transparency, accountability, and sustainability. Through mechanisms such as the “apply or explain” statement, the Code introduces a modern, trust-based approach that encourages dialogue between companies and investors. This new framework strengthens the maturity of the Romanian capital market and increases the attractiveness of long-term investments.
