Enpresen borondatezko erregulazioaren ikuspegi teorikoak: kluben teoria eta informazio asimetrien ikuspegia

Abstract

[ES]La autorregulación voluntaria empresarial (self-regulation) es un fenómeno que ha tenido gran difusión en los últimos años. En esta contribución nos centraremos en el análisis de dos de las perspectivas académicas que han tratado de analizarlo: la teoría de los clubs y las asimetrías de información. Los clubs proveen de valiosa información sobre las actividades de sus miembros, reduciendo, de este modo, las asimetrías de información. Los clubs exitosos inducen a sus miembros a emprender de forma voluntaria acciones de mejora ambiental de mayor compromiso que las que habrían acometido unilateralmente, y muy frecuentemente motivan la adopción de herramientas de tipo soft-law de autorregulación empresarial medioambiental como el estándar internacional ISO 14001 para la gestión medio ambiental, o el Reglamento EMAS. Este artículo tiene como objetivo analizar y confluir la crítica general y específica que se realiza a estas herramientas privadas de autorregulación.
