Abstract

[eng] Much of the franchising literature has been concerned with the incentive mechanisms used in franchise contracting. Two main categories of incentive mechanisms have been identified : residual claimancy rights and ongoing rents. In this article, we describe these two incentive mechanisms, and their use in franchise contracts. We then argue that these two types of mechanisms, though usually considered substitutes in that they are both meant to align franchisee and franchisor incentives, are in fact complementary because they are used to resolve different types of incentive issues. We explore also how specific terms found in franchise contracts support the incentive mechanisms described here. Finally we extend our analysis to non-franchised systems with common marks or reputational concerns.
