Abstract

How corporate governance systems, by conditionning management decisions, influence the sustainable creation of value by the firm ? The answers to this central question of corporate governance are contingent to the used representations of the firm and are more or less satisfactory if one adopts a managerial perspective. The shareholder view being unable to provide a relevant answer, we must turn to the stakeholder view of corporate governance. However, it is necessary to enrich this view, initially exclusively disciplinary , with a cognitive dimension to obtain a fully adapted framework.
