Quelles sont les caractéristiques optimales du conseil d'administration?

Abstract

Dans une optique financière, le conseil d'administration veille à ce que les décisions managériales soient conformes à l'objectif de création de valeur actionnariale. Les auteurs présentent les principaux résultats d'une multitude de travaux abordant la question de l'incidence des caractéristiques du conseil d'administration sur la protection des intérêts des actionnaires. Il apparaît qu'il n'existe pas de composition idéale du conseil, tant en termes de présence d'administrateurs externes indépendants, que de taille du conseil d'administration et de cumul des fonctions de décision et de contrôle.
