Abstract

Probing the inner workings of corporations, the chapter identifies how the pursuit of shareholder value impacts management practices and undermines corporate responsibility. Corporate behavior inspired by shareholder value spans both governance issues (e.g. financial reporting and shareholder reward) and decisions on strategy and management (e.g. human resource policies and employee compensation, product pricing, investing in safety, environmental responsibility and the like). Empirical surveys and anecdotal evidence reveal corporate tendency to cut costs and maximize profits, and their externalities.
