Kurumsal Yönetim ve Sermaye Yapısı Arasındaki İlişki: BIST’de Bir Çalışma

Abstract

Çalışmada, kurumsal yönetim ilkelerinin, şirketlerin sermaye yapılarına olan etkileri incelenmiştir. Bu amaçla, öncelikle konuyla ilgili literatür taraması yapılmıştır. Daha sonra kurumsal yönetim ilkelerini uygulayan firmaların 2008-2010 yılları arasında BIST’den elde edilen verilerinden yararlanarak finansal düzeyleri panel veri analizi yöntemi ile test edilmiştir. Çalışma sonucunda yönetim kurulu üye sayısındaki artışın finansal kaldıracı pozitif yönde etkilediği, ancak bağımsız üye oranının finansal kaldıracı negatif yönde etkilediği ortaya çıkmıştır. Aktif karlılık oranının finansal kaldıracı pozitif yönde etkilediği ve dolayısıyla Türkiye’deki firmaların genel olarak öz sermaye ile finansmandan ziyade borçla finansmana başvurdukları ve bu sonucun Dengeleme Teorisini destekler nitelikte olduğu görülmüştür. Ayrıca, kurumsal yönetim uygulamalarının ülkemizde hala zayıf olduğu görülmüştür.
