ロシア企業の取締役会 : 法的枠組と実態

Abstract

ロシアにおける企業研究の焦点は，今や「伝統的」な市場経済化政策から，既存企業の組織的アーキテクチャやガバナンス・メカニズム及び企業システム全体の制度的コーディネーションのあり方に大きくシフトしつつある。かかる立場から，筆者は，拙稿「ロシア企業の法制構造」(2003)において，株式会社制度の主要構造を明らかにした。本稿は，その補足研究として，取締役会の法的枠組と大手企業におけるその実態を考察する。即ち，1996年1月に施行した「株式会社に関する連邦法」が規定する取締役会の組織構成や執行機関との権限関係を踏まえつつ，ロシア連邦有価証券市場委員会と資本市場・経営研究所が2001年に実施した共同企業調査の解説と評価を行うことが本稿の主な目的である。
