Rechtskonformes postakquisitorisches Vorstandshandeln - Mit Fallbeispielen aus der Unternehmenspraxis

Abstract

Ziel der Arbeit ist der Beitrag zu einem bislang wenig entwickelten Diskussionsstand und einem zukünftig hoffentlich erhöhten Problembewusstsein über die Rechte und besonderen Verhaltenspflichten von Vorstandsmitgliedern im Anschluss an Unternehmensübernahmen. Die Arbeit wird aus den in verschiedenen Rechtsgebieten und Sonderproblemen verstreuten maßgeblichen Normen einen rechtlichen Ordnungsrahmen für regelkonformes Verhalten bei typischen postakquisitorischen Managemententscheidungen skizzieren und die hohe praktische Relevanz des Themas verdeutlichen, indem sie in einer Reihe von Fallbeispielen das umfangreiche Haftungspotential für die Vorstandsmitglieder des übernehmenden sowie übernommenen Unternehmens herausarbeitet. Im Mittelpunkt des Interesses steht die Frage: Welche maßgeblichen gesetzlichen Grundlagen bestimmen den Rahmen für postakquisitorische Entscheidungen von Vorstandsmitgliedern in Mutter- und Tochterunternehmen bei der Integration eines übernommenen Unternehmens in den Konzernverbund des Erwerbers?
