Abstract

[eng] The arrangers as advisors of the originators . Securitisation may achieve different purposes : raising finance, balance sheet liquidity, credit risk management, capitalrelief, or supporting business expansion. The arrangers advise on the design of the structure to meet the originator's priorities.. The French regulatory framework allows to obtain the desired goals using various techniques. They have to reconcile different constraints depending on the objective sought by the originator : the features of the assets, the appropriate accounting and regulatory treatment, the requirements of other participants involved in the transaction : the rating agencies, investors, insurers and liquidity providers. A successful transaction involves taking the management of the fund into account at the very early stages in order to ensure its long term viability. . JEL Classification : G19 [fre] Une opération de titrisation peur répondre à des besoins divers pour le cédant : refinancement, liquidité, gestion des risques, sources de fonds propres voire stratégie de développement. En fonction du but recherché par le cédant, l'arrangeur doit, dans la conception de la structure, concilier différents intérêts. Dans le cadre réglementaire français, il a à sa disposition de nombreuses techniques pour optimiser le bilan de l'opération. Il intègre les contraintes propres du cédant : celles qui découlent de son activité même (les actifs), celles qui sont imposées par ses autorités de contrôle. Il est soumis aux exigences des autres parties prenantes et notamment celles des agences de notation, des investisseurs des parts seniors et subordonnées. des garants ou assureurs éventuels. Enfin. une structuration réussie implique aussi de prendre en compte, en amont, les contraintes de gestion du FCC afin d'en assurer la viabilité sur toute la durée de vie. . Classification JEL : G19
