Od Dobrih Smernica Do Dobre Prakse: Novi Model Korporativnog Upravljanja U Javnim Preduzećima U Srbiji (From Good Guidelines To Good Practice: New Model Of Corporate Governance In Public Enterprises In Serbia)

Abstract

Kao posledica nadolazećeg značaja agencijskog problema javlja se potreba za ozbiljnijom kontrolom, a posledično i definisanjem osnovnih principa korporativnog upravljanja. Brojna istraživanja su samo potvrđivala potrebu za kreiranjem novog okvira korporativnog upravljanja posebno kada je reč o javnim preduzećima, ističući da je u nekim od njih koncept potpuno nepoznat. U radu je predstavljen Hilbov model korporativnog upravljanja poznatiji kao KISS model (Keep it Integrated, Strategical, Situational and Controlled). Model je sačinjen od četiri dimenzije i to, situacione, strateške, integrativne i kontrolne dimenzije. Cilj rada jeste analiza korporativnog upravljanja u javnim preduzećima u Srbiji data kroz prizmu situacione, strateške, integrativne i kontrolne dimenzije Hilbovog modela. Rezultati analize daju uporedni prikaz preporučenih smernica predstavljenog modela i trenutnog stanja korporativnog upravljanja u srpskom javnom sektoru. Nakon identifikovanja ključnih barijera, na kraju rada date su i preporuke za njihovo prevazilaženje i za uspostavljanje seta mera usmerenih na unapređenje korporativnog upravljanja u javnim preduzećima u Srbiji.
