Strategische Unternehmensüberwachung durch den mitbestimmten Aufsichtsrat in Krisenzeiten: Eine empirische Untersuchung der Überwachungspraxis von Arbeitnehmer- und Arbeitgebervertretern in DAX-Unternehmen

Abstract

Das Thema 'gute Corporate Governance' wird aufgrund der Globalisierung, der Gründung europäischer Aktiengesellschaften (Societas Eurpoaea) und zunehmender weltweiter Verflechtungen von Unternehmen immer bedeutender. Vor diesem Hintergrund ist es die gemeinsame Aufgabe des Vorstandes und des mitbestimmten Aufsichtsrates, eine ganzheitliche und ordnungsgemäße Unternehmensführung zu gewährleisten. Denn diese stellt die Voraussetzung dafür dar, ein Unternehmen innovativ, zielorientiert und nachhaltig steuern und kontrollieren zu können. Daher liegt diesem Arbeitspapier die Annahme zugrunde, dass der Aufsichtsrat zur Gewährleistung einer derartigen Unternehmensführung in seinem Überwachungsverständnis eine strategische Dimension mit einzubeziehen hat. Ziel dieses Arbeitspapiers ist es daher, das strategische Überwachungsverständnis von Arbeitnehmervertretern in DAX-Unternehmen zu erheben und zu analysieren. Des Weiteren sollen Verbesserungspotenziale identifiziert und Handlungsempfehlungen für die Praxis formuliert werden.
