I.M.U.-Aufsichtsrätebefragung 2019/2020: Zentrale Ergebnisse und Schlussfolgerungen

Abstract

Im Zeitraum von September bis November 2019 befragte das I.M.U. insgesamt 506 Arbeitnehmervertreterinnen und -vertreter aus Aufsichtsräten deutscher Unternehmen zur Lage in ihren Gremien. Neben den Rahmenbedingungen und der Ausrichtung der Aufsichtsratsarbeit stand dabei insbesondere die besondere Rolle der Mitbestimmung im Fokus. Unsere Befragung zeigte, dass sich Umfang, Intensität und inhaltlicher Anspruch von Aufsichtsratsarbeit in der jüngeren Vergangenheit merklich verschärft haben. In einer signifikanten Zahl von Unternehmen agieren Aufsichtsräte in einer zunehmend proaktiv beratenden Rolle gegenüber der Unternehmensleitung. Arbeitnehmervertreterinnen und Arbeitnehmervertreter bringen in diese Gemengelage v.a. durch ihren besonderen Fokus auf transformatorische Themen eine bedeutsame Sichtweise ein. Besonders nachdrücklich adressieren sie Fragen der Unternehmensstrategie, technologischer Veränderungsprozesse und einer erfolgskritischen Personalpolitik. Ein maßgebliches Hindernis für die Einflussmöglichkeiten der Mitbestimmung stellt in paritätisch (gemäß MitbestG) mitbestimmten Unternehmen das Doppelstimmrecht des Aufsichtsrats-Vorsitzenden dar. Eine deutliche Mehrheit befragter Aufsichtsräte sieht v.a. in dessen Drohpotenzial eine erhebliche Schwächung der Arbeitnehmerposition.
