Die Folgen der EU-Abschlussprüfungsreform für den Aufsichtsrat und den Prüfungsausschuss: Eine handlungsorientierte kommentierte Darstellung der neuen Rechtslage

Abstract

Der vorliegende Report gibt einen Überblick über die zentralen Änderung, die sich für die gesetzliche Abschlussprüfung und die Arbeit im Aufsichtsrat und Prüfungsausschuss aus den jüngsten Reformgesetzen AReG (Abschlussprüfungsreformgesetz) und APAReG (Abschlussprüferaufsichtsreformgesetz) ergeben. Insbesondere Aufsichtsräte in kapitalmarktorientierten Unternehmen müssen sich mit einer Reihe von Neuerungen auseinandersetzen. Zu nennen sind u. a. die Einführung der "externen Rotation" der Prüfungsgesellschaft, die Durchführung eines Ausschreibungsverfahrens, deutlich verschärfte Anforderungen an die Unabhängigkeit des Prüfers und deren Überwachung durch den Aufsichtsrat bzw. Prüfungsausschuss sowie ergänzende Vorschriften zum Prüfungsbericht und zum Bestätigungsvermerk. Anhand kommentierter Ablaufpläne werden die Änderungen für Unternehmen diverser Fallkonstellationen aus Rechtsform, Mitbestimmungsstatut und Kapitalmarktorientierung detailliert dargestellt.
