Evolução Recente do Mercado de Debêntures no Brasil: as debêntures incentivadas

Abstract

A Lei no 12.431/2011 concedeu incidência especial de imposto de renda (IR) para debêntures emitidas com o intuito de financiar projetos de investimento em infraestrutura. Esses títulos são conhecidos como debêntures incentivadas. Neste trabalho estudamos de forma descritiva 1.183 debêntures emitidas entre janeiro de 2000 e dezembro de 2013 cadastradas no Sistema Nacional de Debênture (SND) e disponibilizadas pela Associação Brasileira das Entidades dos Mercados Financeiro e de Capitais (Anbima). Analisamos a evolução recente do mercado de debêntures no Brasil e o andamento do programa de debêntures incentivadas. Avaliando de forma descritiva o desenvolvimento do programa e a base de dados, a iniciativa pode ter sido eficaz na atração de novos investidores para o mercado de debêntures. Porém o governo tem falhado em levar empresas a aderirem ao projeto. Em alguns setores essenciais, como o de energia elétrica e o de logística, o percentual de debêntures excluídas do programa mas elegíveis é superior a 70%. In 2011, the Brazilian government granted an income tax benefit to corporate bonds issued with the specific purpose of financing long-term infrastructure investments (Law 12.431/2011). The financial bonds favored by this policy have become known as “incentivized bonds”. This paper describes the current state of this market in comparison to international peers and evaluates the initial results of this policy. Comparing the “incentivized bonds” with the other bonds in the market, we find signs that the program has succeeded in the attraction of new investors for the Brazilian corporate bond market. However, the government might have failed in encouraging the companies to join the initiative. In essential infrastructure sectors such as electricity and transport, the percentage of eligible corporate bonds that did not adhered to the aforementioned program is greater than 70%.
