Abstract

Le premier lien social est l'échange. Au-delà de son objet, l'échange introduit entre les hommes et les entreprises une communication, un code ou des références plus ou moins partagées. Cet ouvrage souhaite souligner l'importance de la négociation contractuelle et la richesse des formes de contrat économique dans la vie de l'entreprise, tout particulièrement vis-à-vis de ses apporteurs de fonds : actionnaires et prêteurs. L'idée est ici de dire que le processus contractuel dans un monde financier où les asymétries d'information, la dimension du temps et les relations de pouvoir existent, entraine des externalités positives sous forme d'économies ou de gains d'information. L'étendue et la diversité des contrats se retrouvent à tous les niveaux de la vie de l'entreprise en particulier les contrats financiers : contrats d'incitation des dirigeants, contrat de contrôle actionnarial, équilibre entre actionnaires majoritaires et minoritaires, négociation lors des transferts de contrôle et OPA. Il faut prendre en compte des relations implicites qui sont complexes et réintroduisent le long terme dans les comportements des acteurs. L'ouvrage est structuré en 6 chapitres consacrés respectivement aux thèmes suivants : -L'entreprise et ses limites -L'entreprise et ses bailleurs de fonds -La décision -Les contrats économiques -Les contrats implicites et le contrôle
