Abstract

Cet article étudie les imperfections qui entachent le marché de la cession–reprise d'entreprises et les conditions d'efficacité d'une solution préconisée par la Commission Européenne : l'organisation d'un marché transparent de la transmission. Deux problèmes principaux sont mis en exergue : les asymétries d'information entre cédants et repreneurs et les incertitudes sur le bon déroulement de la transmission. Face à ces deux problèmes, l'apport des bourses d'opportunités est souligné et certaines mesures pour améliorer leur efficacité préconisées. En particulier, la certification de l'information et l'interconnexion des plates-formes au niveau pan-européen pourraient rendre plus liquide le marché de la cession-reprise.
