Abstract

Depuis les travaux fondateurs de Jensen et Meckling (1976), la gouvernance d'entreprise est classiquement appréhendée à travers le prisme de la théorie de l'agence, qui conçoit l'entreprise comme un ensemble de relations contractuelles organisées autour de la séparation entre propriété et contrôle. Dans cette perspective, la question centrale réside dans la conception de mécanismes permettant de discipliner les dirigeants et d'aligner leurs intérêts sur ceux des actionnaires, dans un contexte marqué par l'asymétrie d'information. Ce cadre analytique a profondément structuré la recherche académique en gouvernance d'entreprise, en fournissant à travers ce corpus théorique commun des outils d'analyse débouchant sur des modélisations empiriques à foison. Les dispositifs de gouvernance - structure de propriété, composition des conseils d'administration, systèmes d'incitation etc. - sont ainsi analysés comme des instruments permettant de réduire les conflits d'agence et d'améliorer la performance organisationnelle et financière. Cette approche repose sur une vision fondamentalement instrumentale de la gouvernance, dans laquelle les mécanismes formels occupent une place centrale et sont supposés produire des effets relativement prévisibles sur les comportements des acteurs.
