Abstract

Ce chapitre étudie les conséquences civiles du décès de la personne clé sur la continuité de l'entreprise. Il distingue les prérogatives attachées à la qualité d'associé du pouvoir statutaire de gouvernance afin de montrer que la transmission des droits sociaux ne suffit pas à assurer la poursuite de l'activité. L'auteur analyse les principaux instruments d'anticipation mobilisables en droit civil et en droit des sociétés, notamment la donation-partage, le démembrement de propriété, la renonciation anticipée à l'action en réduction, le mandat à effet posthume, le tiers administrateur, la tutelle testamentaire et les clauses statutaires relatives à la gouvernance. Il défend une approche coordonnée de la transmission patrimoniale et de l'organisation des pouvoirs, destinée à prévenir les ruptures institutionnelles consécutives au décès du dirigeant.
