Abstract

The objective of this article is to make a synthesis of the theories of corporate governance, which are, first of all, the contractual theories of organizations (agency theory, property rights theory, transaction cost theory) and then competence-based theories (entrenchment theory, stewardship theory). The definition of corporate governance has evolved as its scope has expanded, from the shareholder model which aims to maximize shareholder value, to a broader and more dynamic model called partnership model that aims to maximize the interests of all stakeholders. This model has extended to cognitive governance, which aims to identify and cultivate the skills and knowledge required by leaders.
