Abstract

Cet article s'appuie sur les notions de parties prenantes et de communs pour justifier la démocratisation de l'entreprise dans une perspective pragmatiste et institutionnaliste. A partir des travaux de Freeman et d'Ostrom, nous montrons qu'en les combinant, il est possible de faire apparaître un idéal démocratique applicable à l'entreprise qui s'oppose à la vision coercitive des théories contractualistes et de la shareholder value. La perspective d'une entreprise reconnue comme une ressource commune pour ses parties prenantes, invite à penser les conditions d'un changement institutionnel pour impulser une dynamique de démocratisation des entreprises.
