Abstract

Ce chapitre analyse les stratégies des entreprises face aux obligations légales en matière de développement durable. La multiplication des lois (notamment en France la REP, le devoir de vigilance, les lois PACTE ou AGEC; mais aussi en Europe avec la CSRD) vise les « buts monumentaux » de l'agenda 2030. Les travaux en sciences de gestion montrent que les entreprises privilégient massivement une compliance a minima plutôt qu'une transformation profonde. Les obstacles sont majeurs : chaînes de valeur étendues et difficilement "traçables", pratiques opaques des sous-traitants, tension entre rentabilité actionnariale et obligations réglementaires. Les grandes multinationales déploient par ailleurs des stratégies sophistiquées pour organiser leur irresponsabilité. L'analyse s'appuie sur des exemples jurisprudentiels (France Télécom, Lafarge en Syrie...) révélant l'extension de la responsabilité pénale et la difficulté d'attribuer des responsabilités individuelles dans des systèmes multi-acteurs réticulaires. La conclusion plaide pour une alliance renouvelée entre recherche juridique et sciences de gestion, en vue de concevoir la responsabilité dans une perspective projective.
