Abstract

Cet article propose une analyse critique du traitement de la gouvernance dans les normes européennes de reporting de durabilité (ESRS), élaborées dans le cadre de la directive CSRD. Bien que ces textes visent à renforcer la transparence et la responsabilité des entreprises, les auteurs montrent que la norme ESRS G1 adopte une approche restrictive et disciplinaire, centrée sur la corruption, l'éthique et le lobbying, au détriment d'une vision plus large de la gouvernance d'entreprise. En mobilisant les théories académiques de la gouvernance (agencielle, cognitive et partenariale) et en comparant les ESRS aux référentiels ESG de Vigeo et LSEG, l'étude met en évidence le manque de connectivité et de profondeur conceptuelle du dispositif. L'exemple du groupe Engie illustre la distance entre la norme et sa mise en œuvre pratique. Les auteurs concluent que la norme G1 ne permet pas d'appréhender la contribution réelle de la gouvernance à la durabilité et recommandent une refonte fondée sur les apports de la recherche et des acteurs de terrain.
