Abstract

Cette réflexion formalise la double relation d'agence existant entre dirigeants et salariés. Une synthèse des mécanismes de gouvernance sociale à l'œuvre dans le cadre de cette relation révèle une prédominance de la logique disciplinaire de la gouvernance. À travers l'exemple de l'expert assistant les comités d'entreprise, nous illustrons comment la prise en compte de la logique cognitive de la gouvernance peut permettre une meilleure implication des salariés dans la gestion des entreprises.
