Abstract

La corporate governance désigne l'organisation du contrôle et de la gestion de l'entreprise. L'approche considère sous cette terminologie les systèmes d'amélioration de la performance au bénéfice des ayants droit. L'article montre à travers les différents systèmes de rating mis en place au plan international une relation significative entre les améliorations de corporate governance et la valorisation des entreprises. Cette relation s'atténue après 2000 du fait d'un effet d'apprentissage pour les entreprises. Par ailleurs, tant les mesures anti-prise de contrôle que les structures permettant l'enracinement des dirigeants ont des effets négatifs sur la valorisation des entreprises.
