Les administratrices des grands groupes français cotés Quels « atouts » privilégier ?

Abstract

La loi n° 2011-103 du 27 janvier 2011 fixe au seuil de 40 % la proportion de femmes devant siéger dans les conseils d'administration des entreprises françaises cotées. Par conséquent, entre 550 et 1 350 postes d'administratrices seront à pourvoir à l'horizon 2017. Cet article examine la nature de la légitimité des femmes – c'est-à-dire leurs « atouts » – à siéger dans les conseils d'administration afin d'esquisser un profil des potentielles candidates. L'analyse du profil des femmes siégeant – ou ayant siégé – dans les conseils d'administration des entreprises françaises (du SBF 120) entre 2003 et 2009, montre la prégnance du lien familial et de l'excellence scolaire pour pénétrer les instances de surveillance ainsi que la présence accrue d'administratrices de nationalité étrangère, un vivier potentiel à privilégier pour répondre aux contraintes légales.
