Abstract

Les besoins financiers croissants des entreprises conduisent les banques, avec l'augmentation du montant de leurs engagements, à s'organiser sous forme de pools bancaires pour mieux maîtriser les risques de crédit. Cette forme d'organisation transversale qui mobilise la coopération de plusieurs banques et un chef de file délégué par ces autres banques interroge sur son mode de coordination. Une caractérisation du pool bancaire selon plusieurs lectures théoriques économique et sociologique identifie les modes de coordination possibles. L'étude d'un cas de relation bancaire illustre les risques de coordination induits par cette forme de coopération entre une banque régionale et le chef de file d'un pool. L'étude montre que les procédures formalisées s'avèrent peu pertinentes pour empêcher les dérapages de confiance, lorsque les participants à l'échange, entités extérieures et indépendantes, sont confrontés à un véritable problème de partage des attentes.
