Abstract

Depuis le début des années 1990, les pratiques de gouvernance d'entreprise (fonctionnement du conseil d'administration, indépendance des administrateurs, mise en place de comités d'audit et de rémunération, etc.) ont fait l'objet de nombreuses tentatives de codification. Compte tenu des scandales financiers récurrents, l'observateur intéressé est en droit de s'interroger sur la nature et la valeur des recommandations émises dans les codes de bonne conduite, souvent « vendus » comme des catalogues de « meilleures pratiques ». Existe-t-il réellement de « meilleures pratiques » de gouvernance d'entreprise ? De quoi s'agit-il ? Quels sont les arguments susceptibles de fonder la définition des « meilleures » ? Qui édicte les règles et qui en fait la promotion ? Quelle est leur légitimité ? Comment s'intègrent-elles dans la législation et dans la pratique des entreprises ? Quelle est la pertinence des recommandations actuelles sur les « meilleures pratiques » de gouvernance ? Peuvent-elles évoluer ? Autant de questions auxquelles cet ouvrage apporte des réponses dans cette nouvelle édition mise à jour.
