Abstract

On définit la gouvernance d'entreprise comme le moyen de légitimer ceux qui, dans l'entreprise, ont le droit d'en orienter l'activité et la stratégie. Or, toute gouvernance repose sur trois grands pouvoirs : le pouvoir souverain, le pouvoir exécutif, le pouvoir de surveillance. De l'articulation de ces trois pouvoirs dépendent des « régimes de gouvernance » qui sont comme autant de « régimes » en politique. Par quelle fiction légale l'actionnaire est-il souverain ? Les salariés doivent-ils participer à l'exécutif ? Comment être un bon chef d'entreprise ? Derrière une apparente question technique, Pierre-Yves Gomez met au jour en quoi la manière dont s'établit la gouvernance dans une entreprise détermine en réalité – et ce, bien au-delà de la vie des affaires – une large part des décisions économiques et politiques de notre époque.
