Abstract

Le conseil d'administration a souvent fait l'objet des études juridiques ; les juristes se préoccupent de la légalité du fonctionnement du conseil, de la responsabilité dévolue à chaque membre et des missions légales relatives au contrôle des dirigeants. Au-delà de la pertinence de cette vision, nous proposons dans le présent article l'apport de la science économique à travers la théorie contractuelle qui s'inscrit dans le prolongement du renouvellement de la théorie néoclassique.
