Abstract

L'émergence de la gouvernance dans les jeunes entreprises innovantes est peu étudiée. Une étape clé dans la structuration des mécanismes de gouvernance a lieu lors de la première entrée d'investisseurs externes au capital aux côtés des fondateurs, à l'occasion de laquelle un conseil d'administration ou de surveillance est généralement mis en place. La littérature permet d'identifier les spécificités de la gouvernance opérée par les principales catégories génériques d'investisseurs externes (business angels et fonds de capital-risque), mais pas d'expliquer la motivation et la capacité des acteurs en présence à participer au conseil et à y exercer certains rôles. Ce chapitre présente un modèle d'émergence de la gouvernance basé sur l'identification sociale des acteurs, leurs caractéristiques cognitives et leur part au capital.
