Abstract

L'adoption de deux nouvelles formes de société en Californie pourrait introduire un enrichissement important du droit commercial. Tout en conservant la plus grande proximité possible avec les sociétés usuelles, leurs concepteurs les ont dotées d'un attribut nouveau : l'inscription d'une mission différente de la recherche du profit dans leurs statuts. Nous montrons que cette innovation, introduite par des praticiens, répond à une incapacité du droit américain à abriter une classe de projets collectifs mêlant but lucratif et objectifs sociaux et environnementaux. Elle ouvre une nouvelle voie basée sur un enrichissement de l'objet social, qui devient alors un point central de la gouvernance, ainsi qu'une variable théorique clé pour décrire un ensemble d'alternatives aux formes de société usuelles.
