Abstract

Le cas BIOMERIEUX / DANONE permet d'illustrer les principales théories financières et de travailler sur deux groupes cotés français très différents, en termes d'actionnariat, de choix de financement et d'investissement. BIOMERIEUX, entreprise familiale cotée, a un actionnariat concentré, investit beaucoup en R&D, est peu endettée et distribue peu de dividendes ; au contraire DANONE a un actionnariat dispersé, investit dans des actifs tangibles, est assez endetté et a une politique de distribution plutôt généreuse. L'étude de ces deux groupes permet de voir comment les théories du signal, de l'agence, des coûts de transaction et du financement hiérarchique peuvent s'appliquer de manière concrète dans des contextes différents.
