Abstract

Parce que la gravité de la crise économique impose de rechercher des solutions hier encore impensables, ce livre propose une nouvelle conception de l'entreprise. Inventée il y a un siècle, l'" entreprise " incarnait l'inventivité technique, un travail organisé et un espace de négociations sociales. Son développement se confondait avec le progrès collectif. Cette logique s'est brisée dans les années 1980. En imposant le primat de la société anonyme, donc des actionnaires, les doctrines de la " corporate governance " ont déstabilisé la mission des dirigeants et atrophié les règles de gestion. Ce dérèglement du rouage majeur de la création de richesses a préparé et amplifié les grands déséquilibres économiques et sociaux. Aujourd'hui, il faut repenser l'entreprise et son cadre juridique, parce que le droit, par son ambiguïté et ses lacunes, n'a pu empêcher ce dérèglement. En s'appuyant sur des recherches récentes, cet ouvrage propose de repenser l'entreprise comme une action collective créatrice. Cette perspective permet de repenser le statut du dirigeant et de jeter les bases d'un " contrat d'entreprise ", différent du contrat de société, orienté vers le progrès collectif.
