Abstract

S‘il est désormais admis que les membres du conseil d'administration jouent un rôle à la fois de surveillance et d'apport de connaissances (Zahra & Pearce, 1989 ; Forbes & Milliken, 1999 ; Charreaux & Wirtz, 2006 ; Van Ees & al., 2009) et que certains facteurs exogènes tels leurs intérêts financiers, leurs compétences initiales ou le rapport entre outsiders/insiders influencent son fonctionnement, la façon dont ils se répartissent les rôles et les raisons pour lesquelles ils endossent certains d'entre eux restent mal connus (Bailey & Peck, 2013 ; Cannella & al., 2015). Nous ouvrons ici « la boîte noire qu'est la salle du conseil » (Adams & al., 2010) et étudions l'impact de facteurs endogènes relevant de processus d'identification sociale des administrateurs sur sa composition et son fonctionnement. Nous proposons un modèle endogène de composition et de fonctionnement du conseil sur la base de l'étude de huit cas d'administrateurs potentiels, « les premiers dans la place » (Hambrick & al., 2008), enchâssés dans un même contexte de gouvernance naissante d'une start up, et analysés de manière déductive, à partir d'un pré- modèle largement inspiré d'Hillman et al. (2008) et inductive, à travers les processus de socialisation à l'oeuvre dans le fonctionnement initial du conseil.
