Abstract

Cet article examine les choix de localisation des fusions et acquisitions (F&A) transfrontalières entre des firmes multinationales des pays membres de l'OCDE au cours de la période 1990-1999. Nous regardons le rôle joué par les déterminants traditionnels de localisation de l'investissement direct à l'étranger, ainsi que par ceux a priori plus spécifiques aux F&A transfrontalières. Nous montrons que l'offre de firmes locales contraint effectivement la localisation des F&A. Toutefois, la distribution géographique des F&A n'est pas uniquement déterminée par la disponibilité des actifs domestiques : la taille du marché, le coût du travail et l'ouverture financière augmentent la probabilité d'attirer des F&A. Il apparaît de surcroît un effet de mimétisme entre entreprises. Inversement, une augmentation du taux d'imposition ou de la productivité sectorielle décroît le nombre de F&A transfrontalières. Les distances culturelles et géographiques, ainsi que les différences de règles juridiques entre pays, ont également un impact négatif sur les opérations de F&A.
