Abstract

La premiere partie de ce document expose le cadre conceptuel permettant d'apprehender le capital organisationnel et son lien avec la structure financiere. La deuxieme partie propose un modele reliant la formation de capital organisationnel et la structure financiere, lorque la valeur de la firme ne depend que de la capacite a faire emerger des accords implicites. La troisieme partie compare les resultats du modele avec ceux des theories contractuelles de la structure financiere. La quatrieme partie introduit la possibilite de liquidation. Dans la cinquieme partie, la prise en compte d'un environnement non stationnaire offre un role particulier a l'endettement en vue d'une renegociation optimale des accords implicites. La derniere partie discute les implications empiriques de la theorie et conclut.
