Facteurs psychologiques de l’institutionnalisation des «meilleures pratiques» de gouvernance en France

Abstract

(VF)Depuis 1995, en France, nous assistons à l’institutionnalisation d’un corps de règles souvent qualifié de « meilleures pratiques » de gouvernance d’entreprise. Ces pratiques sont d’inspiration anglo-saxonne et mettent fortement l’accent sur des mécanismes censés réduire les comportements intéressés de la part des dirigeants pour éviter une spoliation des actionnaires. Au moment de leur arrivée, les « meilleures pratiques » représentent une innovation pour le cadre institutionnel français en matière de gouvernance d’entreprise. Cet article étudie alors la question qui vise à mieux comprendre la gestion rhétorique de l’attrait psychologique des nouvelles règles. S’appuyant sur une démarche d’analyse initialement développée par Fanto (2001, 2002) pour repérer un certain nombre de facteurs psychologiques dans des textes faisant la promotion d’une (ou d’un ensemble de) pratique(s), la présente contribution apprécie la robustesse des résultats obtenus par Fanto (2002) pour les codes de bonne conduite français, tout en rajoutant une dimension processuelle. Nos résultats montrent alors que l’intensité et le statut des différents facteurs psychologiques repérés sont fonction de l’avancement du processus d’institutionnalisation. (VA) Since 1995, corporate France has witnessed the growing institutionalization of a set of rules regularly referred to as corporate governance « best practice ». These rules are of Anglo-Saxon origin and strongly emphasize governance mechanisms designed to reduce interested behaviour by the CEO to avoid the spoliation of shareholders. At the time of its introduction, corporate governance “best practice” represented an authentic innovation with respect to the traditional institutional framework in France. The present paper hence attempts to further our understanding of the rhetoric employed by institutional entrepreneurs to actively manage the psychological attractiveness of the new rules. Based on a method initially developed by Fanto (2001, 2002) to identify certain psychological factors in texts promoting certain practices, the present contribution appreciates the robustness of the results obtained by Fanto (2002) for French corporate governance codes, while adding a processual dimension to the analysis. Our results thus reveal that the intensity and status of the different psychological factors depend on the progress made in the process of institutionalization.
