Les fusions institutionnelles - Fondements théoriques, enjeux et défis de mise en oeuvre

Abstract

This report deals with the determinants and success factors underlying institutional mergers, in particular mergers of private companies, government agencies and public sector entities. Within these three types of consolidations, we note that the objectives are linked to economic efficiency gains, the implementation of a specific strategy or policy and the deployment of resources in a simpler or more effective way. A literature review confirms that the success of a merger will firstly depend on an organization's ability and willingness to quantify, measure and track anticipated economic efficiency gains. The results will then be dependent on the internal expertise and the political influence which was instrumentalized within the framework of the merger. Finally, they will depend on the nature and the flexibility of the resources and capabilities which vary according to the culture of the organizations, and play an important role in the context of the transformations studied. In order to promote the chances of success of mergers, regardless of the sector, two elements seem essential and inseparable: excellent mutual knowledge of the entities involved and an ambitious, detailed integration plan with measurable milestones. Ce rapport traite des déterminants et conditions de succès sous-tendant les fusions institutionnelles, plus particulièrement les fusions d’entreprises privées, d’organismes gouvernementaux et les regroupements au sein de la fonction publique. Pour ces trois types de regroupements, nous constatons que les objectifs visés sont liés aux gains d’efficience économique, à la mise en oeuvre d’une stratégie ou d’une politique spécifique et au déploiement de ressources de manière plus simple, plus efficace ou plus équitable. Une revue des écrits confirme que le succès d’une fusion dépendra d’abord de la capacité et de la volonté d’une organisation à quantifier et à mesurer les gains d’efficience économique anticipés et à en faire le suivi. Les résultats seront également tributaires de l’expertise interne et de l’influence politique qui s’est instrumentalisée dans le cadre de la fusion. Ils dépendront enfin de la nature et de la flexibilité de ces ressources et des capacités qui varient selon la culture des organisations et jouent un rôle important dans le cadre des transformations étudiées. Afin de favoriser les chances de réussite des fusions, peu importe le secteur, deux éléments sont essentiels et indissociables : une excellente connaissance mutuelle des entités impliquées et un plan d’intégration ambitieux, détaillé et avec jalons mesurables.
