El portafolio de remuneraciones e incentivos para la alta dirección (POREMIN)

Abstract

En este trabajo trataremos de cumplir tres propósitos: en primer lugar, asimilar las componentes principales del paquete de remuneraciones e incentivos a un portafolio de activos financieros para la motivación de los altos ejecutivos; en segundo lugar, discutir algunos marcos conceptuales en el análisis de las remuneraciones e incentivos, señalando las adaptaciones que habría que introducir en países que siguen el paradigma de gobernancia a la latina; finalmente, combinar el enfoque de portafolio con el modelo de flujos de caja incrementales, para darle flexibilidad al tema y señalar los protagonistas en la puja por el poder de estos flujos, en términos de discrecionalidad y búsqueda de rentas oportunísticas. Finalmente, el enfoque de portafolios nos explica por qué en las gobernancias a la latina no se estimula la utilización de remuneraciones e incentivos basados en activos financieros contingentes.
