The buyer may wish to retain services of key family members or key employees of the business after the sale and want them to execute an employment or consulting agreement. Likewise, the owners may wish an employment or consulting agreement for either of the following reasons:A significant part of the consideration for the business is being paid to them pursuant to an employment or consulting agreement.The owners have an earnout and need assurance that they will be in control of day to day operations after the closing.…
