The Board’s Role in Corporate Governance

Abstract

Corporate governance is defined in the 1992 UK Cadbury Committee Report as “the system by which companies are directed and controlled.” This definition of corporate governance continues to underpin the UK corporate governance framework and has been followed in many countries globally. It captures among other things the fundamental principle that needs to be covered by any corporate governance regulation—that is, to establish a framework of internal controls to ensure that a company is properly governed. The Sri Lankan corporate governance rules are largely based on the UK corporate governance framework. This chapter critically analyses these developments with particular emphasis on the board’s role as a corporate governance organ.
