Abstract

Zusammenfassung In Kap. 9 wird die Aufgabe der Festlegung von Governance und Groborganisation diskutiert. Zuerst werden die beiden Begriffe geklärt und es wird gezeigt, dass es sich um komplementäre Aufgaben handelt. Darauf wird auf die Governance eingegangen und dabei insbesondere das Verhältnis von Supervisory und Managing Board behandelt. Die Festlegung der Groborganisation wird anhand von drei Beispielen – einer Großbank, eines Technologiekonzerns und eines Chemiekonzerns – erörtert. Es folgen kurze Aussagen zum Beteiligungs- und Partnerschaftsmanagement, bevor zum Schluss die Pflichten von Supervisory und Managing Board geklärt werden.
